Introduction

Welcome to ThankYou. These Terms of Service ("Terms") govern your access to and use of our website, mobile application, and services (collectively, the "Service"). By accessing or using ThankYou, you agree to be bound by these Terms. If you do not agree to any part of these Terms, you may not use the Service.

ThankYou is a platform that enables users to send monetary gifts alongside personalized virtual thank-you cards. Our mission is to make it easy and meaningful to express gratitude to members of your community.

User Eligibility

You must be at least 18 years of age to use ThankYou. By using the Service, you represent and warrant that you are 18 or older and have the legal authority to enter into these Terms. If you are under 18, you are not permitted to use the Service.

We reserve the right to verify your age at any time. If we determine that you do not meet our eligibility requirements, we may suspend or terminate your account.

Account Responsibilities

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when creating your account, and you agree to update this information as needed to keep it current.

You are solely responsible for monitoring access to your account and for notifying us immediately of any unauthorized use or suspected breach of security. We are not liable for any loss or damage arising from your failure to maintain account security.

You may not share your account with others or allow anyone else to use your account. You agree to use the Service only for lawful purposes and in accordance with these Terms.

Payments and Fees

ThankYou uses Stripe Connect to process all payments. When you send a monetary gift through ThankYou, you authorize us to charge your payment method for the gift amount plus applicable fees.

Platform Fee: ThankYou charges a platform fee on each transaction. The fee percentage will be clearly displayed before you complete any transaction. This fee helps us maintain and improve the Service.

Payment Processing: Stripe handles the processing and security of all payment information. We do not store or have access to your complete payment card details. All payments are subject to Stripe's terms and conditions.

Refunds: Gifts are generally non-refundable. However, we may process refunds in cases of transaction errors or fraudulent activity at our sole discretion. Refund requests must be submitted within 30 days of the transaction.

Currency: All transactions are processed in USD unless otherwise specified.

Prohibited Uses

You agree not to use the Service for any unlawful or prohibited purpose. Specifically, you may not:

• Engage in fraud, money laundering, or any illegal financial activity
• Use the Service to harass, threaten, abuse, or defame any person
• Create multiple accounts to circumvent our systems or policies
• Attempt to gain unauthorized access to the Service or other users' accounts
• Interfere with the operation or security of the Service
• Send monetary gifts with the intent to evade taxes or hide the source of funds
• Use the Service in violation of any applicable law or regulation
• Send gifts on behalf of another person without proper authorization
• Use the platform for gambling, betting, or other prohibited financial activities
• Post content that is sexually explicit, violent, or hateful

We reserve the right to investigate suspected violations and may report illegal activity to appropriate authorities.

Intellectual Property

The Service, including all content, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio), is owned by ThankYou, its licensors, or other providers of such material and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service for your personal, non-commercial purposes. You may not reproduce, modify, distribute, or transmit any content from the Service without our prior written permission.

You retain all rights to any content you create and upload to the Service (such as thank-you messages and photos). By uploading content, you grant ThankYou a worldwide, non-exclusive, royalty-free license to use that content for the purposes of operating and improving the Service.

Limitation of Liability

To the fullest extent permitted by law, ThankYou shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, arising out of or in connection with your use of the Service, even if we have been advised of the possibility of such damages.

AS IS Disclaimer: The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be uninterrupted, error-free, or free from viruses or other harmful components.

In no event shall our total liability to you exceed the amount you have paid to us in the 12 months preceding the claim.

Dispute Resolution

Any dispute arising out of or relating to these Terms or the Service shall first be subject to informal negotiation. If the parties cannot resolve the dispute informally within 30 days, either party may pursue formal legal action.

Governing Jurisdiction: Any legal proceedings shall be brought in the appropriate court located in New York County, New York, and you consent to the exclusive jurisdiction of such courts.

You agree that any claim or dispute must be filed within one year of the date the claim arises, or it will be forever barred.

Termination

We reserve the right to suspend or terminate your account at any time, with or without cause, and with or without notice. Termination may occur for violations of these Terms, illegal activity, or for any other reason at our sole discretion.

You may terminate your account at any time by contacting us through our support portal. Upon termination, your access to the Service will cease immediately.

Termination does not relieve you of any obligations incurred prior to termination, including payment obligations for gifts already sent.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. You agree to submit to the exclusive jurisdiction of the courts located in New York County, New York.

Changes to Terms

We may update these Terms from time to time. When we do, we will notify you by updating the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitute your acceptance of the new Terms.

If you do not agree to any changes, you must stop using the Service and terminate your account.
